Acceptance of Terms

These Terms & Conditions (“Terms”) govern the use of Rehab-Software, a software-as-a-service (SaaS) platform operated by Strategic Ventures. By accessing or using Rehab-Software, you (“User”, “you”) agree to be bound by these Terms. If you do not agree, you must not access or use the platform.

Product Description and Scope

Rehab-Software is a cloud-based SaaS platform designed to support healthcare-related administrative and operational workflows. Its scope includes the Rehabilitation Management System (RMS), Therapy and Practice Software (TPS) modules, and AI-powered features such as OCR, automation, and machine learning-assisted data extraction. The platform provides technical and operational assistance only.

SaaS Usage Terms

Access to Rehab-Software is provided on a subscription or licensed basis. Users are granted a limited, non-exclusive, and non-transferable right to access and use the platform in accordance with these Terms. Users must not reverse engineer, resell, sublicense, or misuse the software. Access credentials must be kept confidential, and Strategic Ventures may suspend or terminate access for violations of these Terms.

Healthcare Disclaimer

Rehab-Software does not provide medical diagnoses, medical advice, or treatment recommendations and does not replace licensed healthcare professionals. Unless explicitly stated otherwise, the platform is not a medical device. All clinical decisions, patient care responsibilities, and regulatory obligations remain solely with the User.

AI Functionality Disclaimer

AI-powered features are intended solely to assist with automation and data processing. Outputs generated by AI modules may contain errors or omissions and must be reviewed and validated by qualified professionals. AI outputs must not be relied upon as clinical, diagnostic, or medical conclusions.

Ownership and Intellectual Property

All rights, title, and interest in Rehab-Software, including software code, AI models, documentation, trademarks, and branding, remain the exclusive property of Strategic Ventures. No ownership rights are transferred to Users under these Terms.

Data Responsibility

Users are responsible for ensuring the lawful collection, use, and upload of any data into the platform, including obtaining all necessary patient consents and complying with applicable healthcare and data protection laws. Strategic Ventures acts solely as a software provider and does not assume data controller responsibilities unless otherwise agreed in writing.

Service Availability Disclaimer

Rehab-Software is provided on an “as is” and “as available” basis. Strategic Ventures does not guarantee uninterrupted availability, error-free operation, or compatibility with all devices or systems. Scheduled maintenance, updates, or unforeseen outages may occur.

Limitation of Liability

To the maximum extent permitted by law, Strategic Ventures shall not be liable for indirect, incidental, special, or consequential damages. Total liability shall not exceed the fees paid by the User in the twelve (12) months preceding the claim. No liability is assumed for clinical outcomes, data inaccuracies, or User decisions.

Indemnification

Users agree to indemnify and hold harmless Strategic Ventures from any claims, losses, or liabilities arising from misuse of the software, regulatory non-compliance, violation of these Terms, or improper handling of healthcare data.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, unless otherwise specified in a separate written agreement. Courts located in India shall have exclusive jurisdiction.

Modifications to Terms

Strategic Ventures may modify these Terms from time to time. Continued use of Rehab-Software after such updates constitutes acceptance of the revised Terms.

Termination

Strategic Ventures may suspend or terminate access to Rehab-Software for breach of these Terms, legal or regulatory reasons, or at its discretion, with or without notice, where permitted by law.
